Terms and conditions

These general terms and conditions apply to every offer from, order placed with, and agreement entered into with TykonSafety , a trade name of CTL Shop BV.

1. Definitions

TykonSafety / Seller: CTL Shop BV, trading under the name TykonSafety.

Buyer / Consumer: the natural person who is not acting in the exercise of a profession or business and who enters into a distance contract with TykonSafety.

Business Customer: a natural person or legal entity acting in the exercise of a profession or business.

Agreement: any distance agreement concluded between TykonSafety and the Customer.

Product(s): all items supplied by TykonSafety.

In writing: either on paper or by e-mail or via another durable data carrier.

2. Applicability

These terms and conditions apply to every offer made by TykonSafety and to every distance contract concluded between TykonSafety and the Buyer.

Deviations from these terms and conditions are only valid if agreed upon in writing.

If (part of) a provision is void or is annulled, the remaining provisions shall remain fully in effect. The parties shall then consult to agree on a replacement provision that as closely as possible approximates the purpose and intent of the original provision.

3. Offer and information

The offer contains a complete and accurate description of the Products offered. Obvious mistakes or errors in the offer do not bind TykonSafety.

Images, specifications and other (technical) data in quotations, catalogs, on the website or in other publications are indicative and cannot give rise to compensation or termination, except insofar as the law does not permit this.

The product range is subject to change at any time.

4. Conclusion of the agreement

The agreement is concluded upon acceptance of the offer by the Buyer and fulfillment of the conditions stipulated therein (such as payment).

TykonSafety will confirm receipt of the order electronically. Until confirmation of receipt is received, the Buyer may terminate the agreement.

TykonSafety is entitled to refuse an order or to attach special conditions to its execution, particularly in the case of large orders, late payment, or previous payment problems.

5. Prices and Payments

All prices shown are in euros and, unless otherwise stated, include VAT and exclude shipping and any payment costs.

TykonSafety reserves the right to change prices at any time. The price at the time of ordering applies to current orders.

Payment is made via the payment methods offered in the webshop, in advance, unless explicitly agreed otherwise.

For late payments by Business Customers, statutory commercial interest and reasonable extrajudicial collection costs are due. For Consumers, statutory interest is due after default notice, and collection costs are applicable in accordance with the Collection Costs Act.

Ownership of the delivered Products only passes after full payment (retention of title), without prejudice to the risk that may pass according to article 8.

6. Delivery and performance

TykonSafety will exercise the utmost care in receiving and processing orders.

The delivery time is an indication. Exceeding the stated deadline does not entitle the Buyer to compensation or termination of the contract, unless the delay is such that it cannot reasonably be expected of the Buyer to maintain the agreement.

Delivery will take place at the address provided by the Buyer.

TykonSafety can deliver in parts. Partial deliveries can be invoiced separately.

7. Shipping costs and transfer of risk

Shipping and any COD (cash on delivery) fees will be listed separately during the ordering process.

The risk of damage and/or loss of Products rests with TykonSafety until the moment of delivery to the Buyer. For Business Customers, the risk passes to the Customer at the moment of handover to the carrier, provided that the carrier has been designated by the Business Customer.

8. Right of withdrawal (for consumers only)

The Consumer has the right to terminate the agreement concerning the purchase of Products within 14 days of receipt without giving any reason.

During the reflection period, the Consumer will handle the Product and its packaging with care. The Product will only be unpacked or used to the extent necessary to determine its nature, characteristics and functioning.

If the Consumer wishes to exercise their right of withdrawal, they must notify us within the reflection period using the method indicated on the website (e.g., return portal or contact form).

The Consumer shall then return the Product as soon as possible, but no later than 14 days after the notification, unused and – as far as possible – in its original condition and packaging.

TykonSafety will refund all payments received from the Consumer, including the standard delivery costs, immediately but within 14 days of termination, provided that the Product has been received back or proof of return has been submitted by the Consumer.

Exclusions from the right of withdrawal: (i) Products manufactured according to the Consumer's specifications; (ii) Products that spoil quickly or have a limited shelf life; (iii) Sealed Products that, for reasons of health protection or hygiene, are not suitable for return and whose seal has been broken after delivery (this may include certain PPE and hygiene articles); (iv) Products that, after delivery, are inextricably mixed with other goods by their nature; (v) audio and video recordings and computer software whose seal has been broken after delivery.

Return costs are the responsibility of the Consumer, unless otherwise stated.

9. Conformity, warranty and inspection

TykonSafety guarantees that the Products comply with the agreement, the specifications stated in the offer, and the reasonable requirements of soundness and/or usability.

To the extent that a manufacturer's or importer's warranty is provided, the terms and conditions thereof shall apply to the Consumer or Business Customer.

For Business Customers, the following applies: they must inspect the delivered Products immediately upon receipt and report any visible defects in writing within 5 working days; hidden defects must be reported as soon as possible after discovery.

Any right to (free) repair, replacement or compensation shall lapse if defects are the result of improper use, normal wear and tear, non-compliance with instructions or modifications by the Buyer or third parties.

10. Liability

TykonSafety's liability is limited to the amount paid out by TykonSafety's insurer, plus the deductible.

If the insurance does not provide coverage or does not make a payment, TykonSafety's liability is limited to the invoice value of the order in question, with an absolute maximum of €5,000.

TykonSafety is not liable for consequential damages, including but not limited to lost profits, lost savings, reputational damage, and damages due to business interruption.

The limitations set out in this article do not apply if the damage is the result of intent or conscious recklessness on the part of TykonSafety and do not affect mandatory consumer rights.

11. Personal Protective Equipment (PPE) and safety applications

For Products that qualify as PPE or safety articles, the Buyer is responsible for the correct selection, use and maintenance in accordance with applicable laws and regulations, manuals and (where applicable) certifications and quality marks.

TykonSafety's advice is generic and does not replace a risk assessment and evaluation (RAE) or advice from a safety expert.

TykonSafety is not liable for damage resulting from incorrect use or selection of PPE.

12. Force Majeure

Force majeure means any circumstance beyond the control of TykonSafety that temporarily or permanently prevents performance, such as disruptions to the internet, transport, energy, pandemics, war, strikes, government measures, fire, extreme weather conditions, or disruptions at suppliers or carriers.

In case of force majeure, the obligations are suspended for as long as the force majeure lasts. If the period exceeds 60 days, both parties are entitled to terminate the agreement without obligation to pay damages.

13. Intellectual property

All intellectual property rights to the materials, images, texts and (technical) documentation provided by TykonSafety belong to TykonSafety or its licensors.

Without prior written permission, it is not permitted to copy, distribute, or otherwise use the material outside of the normal use of the Product.

14. Privacy

TykonSafety processes personal data in accordance with its applicable privacy policy and relevant laws and regulations. The privacy policy is available on the website.

15. Complaints and Disputes

Complaints regarding the performance of the agreement must be submitted to TykonSafety within a reasonable time, fully and clearly described, preferably via the contact form on the website or in writing via the company details in these terms and conditions.

TykonSafety will respond to complaints as soon as possible, but no later than 14 days after receipt. If a complaint requires a foreseeably longer processing time, an acknowledgment will be sent within 14 days indicating when a substantive response can be expected.

The laws of the Netherlands shall exclusively govern agreements between TykonSafety and the Customer .

Disputes shall be submitted to the competent court in the district where TykonSafety is located, without prejudice to the Consumer's right to choose settlement by the legally competent court within one month after TykonSafety has invoked this clause in writing.

16. Final Provisions

TykonSafety may change these terms and conditions. The amended terms and conditions will take effect at the announced time and will also apply to existing agreements, insofar as permitted by law.

The Dutch text of these terms and conditions prevails over any translations.
